Mr. Cioffe is co-founder and President of Compensation
Solutions and an Executive Consultant of Hospital & Healthcare
Compensation Service, Inc. (“HHCS”). Mr. Cioffe works
closely with clients regarding issues such as personnel
management, compensation, employee benefits, and compliance with
state and federal employment legislation. His
specialized research technique utilizes all methods of data
collection including internal databases, on-line data searches,
customized forecasts and salary surveys, as well as other
financial calculations. He has been quoted in The Wall
Street Journal, Newsweek, The Washington Post, and dozens of
trade journals and, most recently, Mr. Cioffe appeared on
Bloomberg’s “Small Business News” program.
As President/CEO, Compensation Solutions, Tom leads the senior
management team and is responsible for the overall leadership,
revenues and expenses, profits, client and associate retention
and operations of the Company. He works closely with
sales, and other members of management to facilitate the
attainment of goals and development of new products and
procedures. Tom has more than twenty-five years of
experience in technology-driven, service-oriented businesses. He
has an extensive background in compensation, human resource
management, and the PEO industry. Tom is responsible for,
among other things, new business development, client relations
and compliance. His management background includes sales
and marketing, client services, operations, information
technology, finance and accounting, human resources and risk
management. He also has extensive experience in the areas
of organizational development and leadership, process
improvement, and systems implementation.
In 1997, having served a number of Fortune 500 companies for
several years, Mr. Cioffe recognized that many small to
mid-sized businesses had the same human resource needs as their
larger counterparts. The result of this vision was Compensation
Solutions, an organization that is devoted to finding practical
solutions to the Human Resource issues that face today’s
business owners and personnel administrators. Adhering to
a well-constructed business plan with a focus on risk
management, Mr. Cioffe has guided Compensation Solutions through
a steady, controlled and consistent growth. In slightly over
seven years, CSI has grown to be the largest PEOs domiciled in
New Jersey with more than 400 worksites. Most

Stuart J. Yannalfo

Mr. Yannalfo has an extensive background in trading foreign
exchange, fixed income securities and financial options.
He spent ten years directing the foreign exchange operations for
a large international commodities trading firm. Chief
among his responsibilities was managing the risk of money flows
often in excess of one billion dollars per day. Mr.
Yannalfo and his family also resided in Bermuda for two years
while successfully developing and directing an offshore foreign
exchange and options trading concern. Throughout his
career, he has been widely quoted in many publications including
both The New York Times and Wall Street Journal.
Mr. Yannalfo also serves as President of a private consulting
and trading firm specializing in equities and options as well as
software consulting. His educational background includes a
B.S. Degree in Business Management and Accounting earned at
Ramapo College of New Jersey.

Anthony De Lorenzis
Senior Vice President of Operations

Mr. De Lorenzis joined Compensation Solutions after twenty years
in retail banking. A former Vice President and Branch
Manager for the last 13 years, most recently with Dime Savings
Bank of New York, he has been involved in every facet of branch
operations. Major responsibilities included personnel
management, cash management, product training, sales management,
product tracking and branch systems management. Extensive
customer contact, business development, networking and people
management were part of his day-to-day duties. He is a licensed
life insurance agent for the State of New Jersey and was
involved with products designed for individual retirement plans,
such as tax-deferred annuities.
Mr. De Lorenzis is a member of the Passaic Valley chapter of
Unico National, a non-profit organization that provides
scholarships to college-bound high school seniors in the Passaic
Valley area.

Steven Politis, Esq.
Chief Operating Officer/Executive Vice President/General Counsel

Steven Politis, Esq. is Chief Operating Officer, Executive Vice President and General Counsel for the brand of Compensation Solutions and related entities (“CSI”). Mr. Politis is highly experienced in a broad range of areas confronting businesses and individuals in the employment industry, including labor and management issues, regulatory compliance, HR, risk management, benefits, insurance, arbitration, mediation and litigation. Steven’s responsibilities include direct involvement in strategic planning, managing legal affairs for the companies while also assisting in many of the day-to-day operations.
Mr. Politis provides support to the companies’ Board of Directors and continuously reviews and monitors various corporate governance policies, including the Code of Business Conduct and Ethics. Steven reviews, drafts and negotiates client, employee, vendor and partner contracts, including employment, product and service agreements, non-disclosure, confidentiality and non-solicitation agreements. He also reviews all marketing materials and public communications, ensuring compliance with applicable regulations. He also identifies corporate risks and proposes alternatives to mitigate such risks and provides counsel and works with all team leaders within other business units managing the daily business.
Mr. Politis has been admitted to the practice of law in more than 5 jurisdictions including the state courts of New Jersey and New York, as well as the United States District Court of New Jersey and the United States Eastern District Court of New York.
Mr. Politis is active with the National Association of Professional Employer Organizations, (NAPEO) and serves on the Legal Advisory Council (LAC), Governmental Affairs Committee (GAC), as well as various sub-committees advising the industry.

Thomas Spies, CPA
Chief Financial Officer/Executive Vice President

Thomas Spies has more than twenty-five years experience in accounting field. He spent ten years working in the field of public accounting, performing accounting, tax, and business consulting services for small to mid-size businesses. The remainder of his professional career has been spent in the private sector, most notably as finance manager for the northeastern distribution division of Carrier Air Conditioning.
Currently Tom is Vice President and Chief Financial Officer, having been recently promoted from Controller. He directs all financial activities and staff of the company including preparation of current financial reports as well as summaries and forecasts for future business growth and general economic outlook. He is responsible for the preparation of all financial and income statements, reports to shareholders, tax returns, and reports for government regulatory agencies. Included in his duties is the oversight and management of all payroll managers/technicians and all financial staff.
Tom participates in the development of each Division’s strategic plan; he works closely with each division leader and in concert with Executive Committee Members (XCOM) of CSI Management Group, Inc. He is a member of the Underwriting Committee, and is responsible for ensuring that costs are accurately represented by participating in multi-functional reviews. He regularly confers with the President, and other members of XCOM and Corporate Counsel to coordinate and prioritize planning.
Tom has been instrumental in directing the development, implementation, operation, maintenance and control of essential financial information, budgetary systems and the management of the Great Plains Payroll System. He assures that all financial procedures, practices, and records are in full compliance with applicable regulation, law, and standards of practice.
Mr. Spies is a Certified Public Accountant, licensed in New Jersey and Virginia, and has a bachelor’s degree in Economics with an Accounting concentration from Rutgers University. He is a member of the New Jersey Society of CPA’s and the American Institute of Certified Public Accountants.

Paul R. Dorf, APD

Paul R. Dorf is the Managing Director of Compensation Resources,
Inc. , Compensation Solutions's sister company. He is
responsible for directing consulting services in all areas of
Executive Compensation, Short- and Long-Term Incentives,
Performance Evaluation, and Pay-For-Performance Salary
Administration. He has over thirty years of Human Resource
and Compensation experience and has held various executive
positions with a number of large corporate organizations. He
also has twenty years of direct consulting experience as head of
the Executive Compensation Consulting Practices for major
accounting and actuarial/benefit consulting firms, including
KPMG Peat Marwick, Deloitte Touche (formerly Touche Ross), and
Kwasha Lipton.
Mr. Dorf received a Bachelor of Business Administration (BBA) in
Personnel and Labor Relations from Hofstra University and a
Masters of Administration (MBA) in Industrial Relations
from the University of Bridgeport and the College of William and
Mary. For twenty years, he has been on the
faculty of various universities and has taught Human Resource
and Compensation courses.
Mr. Dorf is widely quoted in newspapers and business
publications, and has appeared on a number of televised business
programs. He has been a featured speaker at numerous national
conferences, including American Management Association, American
Compensation Association, and Society for Human Resource
Management, as well as seminars sponsored by major business
professional organizations.
Mr.Dorf was awarded an Accredited Personnel Diplomat, the
highest level of Personnel Accreditation, by the American
Society of Personnel Administration (ASPA).

Susan Molosh
President
Compensation Solutions HRO
Ms. Molosh is Division President of Compensation Solutions HRO,
a Division dedicated to the needs of medium-sized employers
(75-1000 employees). Ms. Molosh is responsible for development
of the Product Line and Program Management. She participates in
the development of division strategies and in the review and
ratification processes’ of the corporate strategy in concert
with the Executive Committee Members (XCOM) of CSI Management
Group, Inc. She is responsible for development of an annual
business plan for the defined product lines and the development
and implementation of key product line strategies and action
plans. Molosh is responsible for program execution, from program
planning at the proposal stage, managing implementation,
defining ASO services and customer support.
Ms. Molosh defines the objectives and framework to best ensure
customer satisfaction. As Division President she keeps abreast
of environmental situations by staying close to the customer and
by developing good day-to-day relationships with senior customer
management personnel. She is influential in distilling these
environmental needs and participating with staff in programs and
strategies to stay in tune with customer and industry directions
and trends.
As Division President, she represents the CSI family of
Companies, within the division, the industry, and with
customers. She is a regular representative, along other XCOM
members, at the corporate quarterly executive meeting, and
frequently attends the monthly corporate task teams and takes on
a leadership role where her multi-discipline experience can add
value. She is also a member of the division’s New Business
Committee where opportunities for new products and new market
entries are reviewed and strategies are developed as
appropriate.
As a participant in the Underwriting Committee and in the
establishment of division annual objectives, she has the
perspective and accountability to meet the cost of sales
objectives. She has considerable external contact with
customers, and therefore, her innate communication and
interpersonal skills are key in her successful fulfillment of
these responsibilities.
Susan Molosh graduated from the Fashion Institute of Technology
(F.I.T.) with a Degree in General Illustration. Susan has owned
and operated her own business as a Franchisee of a Fortune 500
Company. Her prior responsibilities in, hiring and training
employees, the coordination of tax filings, billing, insurance,
workers’ compensation and payroll, give her the perfect
background for her position at Compensation Solutions HRO.

Susan Carrazana, PHR

Susan Carrazana is currently the President of Compsolutions
Agency, Inc. providing strategic solutions to business owners in
the areas of employee retention through group and individual
benefits, estate preservation and retirement planning. Susan
joined Compensation Solutions as an HR Generalist in 1998 and
after working extensively with clients and their HR needs was
promoted to Vice President of Human Resources in November of
2003. In this position, she managed the daily operations of the
HR Department, including training, employee programs and HR
compliance. After receiving her New Jersey Life and Health
licenses, Ms. Carrazana transitioned into the new position of
President of the Agency in September of 2006.
Ms. Carrazana is a graduate of Rutgers University with a B.S.
degree in Administration of Justice, and minors in Psychology
and Sociology. She is certified as a Professional in Human
Resources (PHR) by the Human Resources Certification Institute,
an affiliate of the Society for Human Resources Management.

TJ Cioffe
Chief Information Officer/Senior Vice President

As Senior Vice President and Chief Information Officer, Mr.
Cioffe develops, administers and manages the security of the
information systems and technology. Mr. Cioffe draws upon
application and data processing experience in order to provide
technical solutions to business problems; support systems
operations by resolving problems and making enhancements;
prepare and lead informal training sessions and workshops for
team members and users; and meet with top level management on a
regular basis to report the status of projects.
Mr. Cioffe has been responsible for defining requirements for
improving or replacing systems. This includes studying
information needs for current and planned management functions
and analyzing sources of required data and methods. His
activities include constructing websites, documents, and
presenting alternative systems for making desired information
available through the intranet and the internet. He has designed
methods for controlling access to secure information and for
measuring the accuracy of data used to develop information.
Mr. Cioffe leads and instructs users in the best way to input
and retrieve data in Compensation Solutions’ computer systems.
He attends MIS meetings to resolve technical questions as well
as provide suggestions and advice to end users. In his CIO
position at Compensation Solutions, his chief functions are to:
plan, design and install data processing systems to support
management control and decision-making activities; study and
analyze information needs for current and planned management
functions to assure data and methods are within constraints of
cost and time; design methods for controlling access to secure
information; ensure systems are installed to meet the
requirements of the corporation; and maintain the accuracy and
quality of data input and data output.
As a Dean’s List student at the Stern School of Business at New
York University, Mr. Cioffe implemented a clustered file system
in the Stern Center for Research Computing for his senior
research project. He graduated in three years with a double
major in Information Systems (IS) and Marketing and received the
Information Systems award, which is given to the top IS
graduate.

Mark Boyd, Esq

Advisor
Mark Boyd recently returned to the private sector after eight
years with the New Jersey Department of Labor (DOL), including
19 months as Commissioner of Labor. Prior to rising to the
Labor Department’s top spot, Mr. Boyd had seen stints as the Director of Job Training Partnership Act
Programs, Director of the Division of Employment and Training,
Assistant Commissioner of Rehabilitation and Disability Programs
and as an Assistant Labor Commissioner.
He spearheaded DOL's efforts to modernize its services for the
private sector and pushed the department to keep up with the
rapid pace of new technology. As an assistant commissioner
for Workforce New Jersey and deputy commissioner, Boyd gained
experience overseeing a broad range of DOL programs. These
include the One Stop Career Centers, Unemployment Insurance,
Temporary Disability Insurance, Vocational Rehabilitation,
Workplace Standards and Safety, and Labor Research & Analysis.
He represented Governor Whitman on a national panel implementing
the new Workforce Investment Act and is New Jersey's State
Workforce Liaison to the National Governors Association. He also
serves on the joint Workforce Readiness Committee of Prosperity
New Jersey and the Edison Partnership.
NJBIA President Joe Gonzalez applauded Boyd's appointment. "No
one has worked harder to bring the Department of Labor into the
21st Century than Mark Boyd," Gonzalez said. "He understands
that New Jersey's workforce and economy are changing
dramatically, and that yesterday's rules for the workplace don't

Prior to joining the Department of Labor, Mr. Boyd had been a
self-employed businessman in his family’s rigging and trucking
company in Kenilworth, New Jersey. Mr. Boyd holds a BA
from the University of Maine and a JD from Rutgers Law School in
Newark. He currently serves as the President/CEO of Goodwill
Industries of Southern New Jersey.

Bart Oates, Esq.

As Executive Vice President of Cohn Real Estate, LLC, Mr. Oates
concentrates on several initiatives. He manages real estate
transactions resulting from consulting engagements by working
with a network of real estate professionals around the country
to perform acquisition and/or disposition assignments as needed.
He works with J.H. Cohn partners’ clients and other third party
clients to provide real estate brokerage services. In addition
Mr. Oates heads up the Sports and Entertainment Group.
Mr. Oates has a diverse background of real estate experience
over the last 13 years. Recently he has been Regional Director
for Workstage. A design-build company focused on building
flexible, user friendly and sustainable commercial and
educational buildings. He was responsible for establishing and
maintaining client relationships and coordination of efforts to
ensure that the assembled project teams delivered projects on a
timely basis and within budget.
Prior to Workstage, Mr. Oates was a Vice President for leasing
and development opportunities for Gale and Wentworth, a regional
real estate development company. His activities included third
party representation for both acquisitions and dispositions. His
responsibilities while spearheading development projects
included, site selection, client interaction, zoning, approvals,
negotiations, budgets and project coordination. He also had
leasing responsibilities for institutional assets that the
company managed.
Prior to Gale and Wentworth, Mr. Oates was an attorney at Ribis,
Graham and Curtin. He concentrated on litigation and contract
issues relating to real estate matters and prosecuting property
tax appeals. Mr. Oates earned a Bachelor of Science in
Accounting from Brigham Young University (cum laude) and a Juris
Doctor from Seton Hall Law School (magna cum laude). Mr. Oates
also played 11 years in the NFL for the New York Giants and San
Francisco 49ers, where he was on 3 Super Bowl Championship teams
and was selected to the Pro Bowl on five occasions.
